These Terms of Service ("Terms") govern your access to and use of the website automatehumans.io and the services provided by Automate Humans LLC ("Automate Humans," "we," "us," or "our"), a Texas limited liability company. By accessing our website or using our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree to these Terms, you may not access or use our website or services.

1. Services Overview

Automate Humans provides WhatsApp-based AI automation services for businesses, including but not limited to:

  • WhatsApp Business API setup and integration
  • AI-powered chatbot development and deployment
  • Automated customer service, order-taking, and booking systems
  • Conversation flow design and optimization
  • Analytics and performance reporting
  • Ongoing maintenance and support

Our services are designed for business clients ("Clients") who wish to automate their customer interactions through WhatsApp and related messaging platforms.

2. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into a binding agreement
  • Be a legitimate business entity or authorized representative of one
  • Comply with all applicable WhatsApp Business policies and Meta platform terms
  • Not be prohibited from using our services under applicable law

3. Account and Access

When you engage our services, you are responsible for maintaining the confidentiality of any account credentials and access information we provide. You agree to notify us immediately of any unauthorized use of your account. You are responsible for all activities that occur under your account.

You agree to provide accurate, current, and complete information during the onboarding process and to update such information to keep it accurate, current, and complete.

4. Service Plans and Pricing

Our services are offered through subscription plans as described on our website. Pricing is subject to change with 30 days' written notice to existing Clients. Key terms include:

  • Setup fees: One-time fees are due before service activation
  • Monthly subscriptions: Billed monthly in advance on the date of service activation
  • WhatsApp message fees: Pass-through fees from WhatsApp/Meta for business-initiated conversations are billed separately based on actual usage
  • Custom work: Any custom development, integrations, or AI training outside the scope of your plan will be quoted and agreed upon separately

5. Payment Terms

All fees are due in U.S. dollars unless otherwise agreed. Payment is accepted via credit card, ACH transfer, or wire transfer. Invoices are due upon receipt unless otherwise specified. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue payments exceeding 15 days.

6. 14-Day Pilot Program

We offer a 14-day pilot program on all plans. During the pilot period:

  • You will have full access to the features included in your selected plan
  • You may cancel at any time during the pilot period without further obligation
  • Setup fees are non-refundable even during the pilot period, as they cover the cost of configuration and AI training
  • If you continue service after the pilot period, your subscription will automatically begin and billing will commence

7. Client Responsibilities

As a Client, you agree to:

  • Provide accurate business information, product/service details, and content for AI training
  • Comply with all applicable laws, including data protection and consumer protection regulations
  • Comply with WhatsApp's Business Policy, Commerce Policy, and Meta's terms of service
  • Not use our services to send spam, unsolicited messages, or engage in any abusive messaging practices
  • Not use our services for any illegal, harmful, or fraudulent purpose
  • Ensure that your customers are informed that they may be interacting with an AI-powered system
  • Respond to human escalation requests in a timely manner when AI handoff occurs

8. Intellectual Property

Our Property

All technology, software, workflows, templates, AI configurations, and proprietary methodologies used to deliver our services remain the exclusive property of Automate Humans. You are granted a limited, non-exclusive, non-transferable license to use our services during the term of your subscription.

Your Content

You retain ownership of all content, data, branding materials, menus, product information, and other materials you provide to us for the purpose of configuring your automation ("Client Content"). You grant us a limited license to use your Client Content solely for the purpose of providing our services.

Customer Data

All data generated through conversations between your business and your customers via our platform ("Customer Data") belongs to you. We process Customer Data solely on your behalf and in accordance with our Privacy Policy and any applicable data processing agreement.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of our engagement. This includes, but is not limited to, business strategies, customer data, pricing information, and technical configurations. This obligation survives termination of these Terms.

10. Service Availability and Support

We strive to maintain high availability of our services but do not guarantee uninterrupted access. Our services depend on third-party platforms including WhatsApp Business API, Meta's infrastructure, cloud hosting providers, and AI services, which are beyond our direct control. We will make commercially reasonable efforts to resolve any service disruptions promptly.

Support is provided based on your subscription plan level. Response times and support channels vary by plan as described on our website.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Automate Humans shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunities
  • Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the total amount paid by you in the twelve (12) months preceding the claim
  • We are not liable for any damages resulting from actions taken by WhatsApp, Meta, or other third-party platforms, including account suspensions, policy changes, or service disruptions
  • We are not responsible for the accuracy of AI-generated responses, and Clients should implement appropriate human oversight for critical business decisions

12. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be error-free, uninterrupted, or that AI-generated responses will always be accurate or appropriate.

13. Indemnification

You agree to indemnify, defend, and hold harmless Automate Humans and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third party's rights.

14. Termination

  • By you: You may cancel your subscription at any time with 30 days' written notice. Cancellation takes effect at the end of the current billing period
  • By us: We may suspend or terminate your access to our services immediately if you breach these Terms, fail to pay fees when due, or engage in activities that violate WhatsApp's policies or applicable law
  • Effect of termination: Upon termination, your access to our platform will cease. We will provide you with your Customer Data in a commonly used format upon request within 30 days of termination. Setup fees are non-refundable

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in the State of Texas, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs of arbitration.

16. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify existing Clients of material changes via email at least 30 days before the changes take effect. Your continued use of our services after such changes constitutes your acceptance of the updated Terms.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any service agreement, constitute the entire agreement between you and Automate Humans
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of government, or service outages of third-party platforms
